The agreement that applies when you order from shops on Synckube, sell as a shop, or otherwise use the platform.
1. About these terms
These Terms & Conditions are an agreement between you and Affy Cloud Solution Pvt Ltd ("Synckube", "we", "us"), a company with its registered office at 13, 40 Quarter, Ahmedabad Palace Road, Kohefiza, Bhopal, Madhya Pradesh 462001, India. They apply when you use the Synckube app, the Synckube Delivery app or this website (together, the "Platform").
These documents form part of the agreement:
- the Terms of Use, which cover accounts, acceptable use and content;
- the Privacy Policy;
- the Refund & Cancellation Policy and the Shipping & Delivery Policy; and
- for delivery partners, the Delivery Partner Terms.
By creating an account or placing an order you accept these terms. If you do not accept them, please do not use the Platform.
2. What Synckube is
Synckube is a technology platform that connects customers with independent local shops, and with independent delivery partners who carry orders from those shops. We are an intermediary under the Information Technology Act, 2000 and a marketplace e-commerce entity under the Consumer Protection (E-Commerce) Rules, 2020.
We do not own, stock or sell the products listed on Synckube. Each product is sold by the shop that lists it, and the contract of sale is between you and that shop. Each shop's name and address are shown in the app.
3. Eligibility and your account
- You must be at least 18 years old and able to enter into a binding contract under the Indian Contract Act, 1872.
- Your account is linked to your mobile number and you sign in with a one-time password. Keep your phone and SIM secure; you are responsible for what happens on your account.
- The details you give us, including addresses and shop or KYC details, must be accurate and kept up to date.
- One person may use one account. You may not sell, transfer or share your account.
4. Ordering as a customer
- Product names, photos, pack sizes, prices, discounts and stock are set by each shop. Photos may differ slightly from the product you receive. The price shown at checkout is the price you pay.
- Placing an order is an offer to buy. The order is confirmed when the shop accepts it. A shop may decline an order, for example if an item is out of stock, and you will be notified.
- Shops set their own opening hours and closures and may not accept orders while closed.
- We deliver only within active service areas. The app shows the shops that can deliver to your location.
- If your cart contains items from more than one shop, each shop prepares its part and each part is delivered separately.
- You must give a correct delivery address and a phone number on which the shop and delivery partner can reach you.
5. Prices and payment
- Prices are in Indian rupees and include applicable taxes unless the listing says otherwise.
- Any delivery or other charge is shown before you place the order.
- At present, payment for orders and repeat deliveries is collected when they are delivered. You must pay the amount shown for the order.
- If we introduce online payments, they will be processed by a regulated third-party payment provider, and we will show any additional terms before you pay.
- An invoice for each order is available in the app.
6. Repeat deliveries
- Where a shop offers it, you can set a product to be delivered daily, weekly or monthly, in the quantity you choose. Deliveries start the day after you subscribe.
- The price per delivery is shown before you start. If the shop changes the price, the new price applies only to later deliveries.
- You can pause or cancel a repeat delivery at any time from My subscriptions.
- A shop may end a repeat delivery if it stops selling the product. You will be notified, and you pay only for deliveries made.
- There may be a limit on how many active repeat deliveries one account can have.
7. Selling as a shop
Joining
- You register your shop in the Synckube app with your shop name, business type, address, map location, PAN and, where applicable, GST number. We may verify these details and may approve or decline a registration.
- Shop features depend on your plan. A plan has a validity period and may limit the number of products, packs per product, total stock quantity, inventory edits and subscribers. Plan fees are shown before you buy a plan and are covered by the Refund & Cancellation Policy.
Your responsibilities
- Sell only goods you are legally allowed to sell, and hold the licences and registrations they need, such as FSSAI registration for food and a drug licence for medicines.
- Keep listings accurate: name, pack size or net quantity, price, discount, photos and stock. Never charge more than the MRP, and follow the Legal Metrology (Packaged Commodities) Rules, 2011.
- Accept or decline orders promptly, honour the orders you accept, and pack them safely and hygienically.
- Keep your opening hours and closures up to date.
- Issue proper invoices and comply with GST and other tax laws that apply to you.
- Use customer names, phone numbers and addresses only to fulfil their orders. Do not contact customers for any other purpose, or share or store their details outside Synckube.
- Handle complaints about your products and cooperate with our grievance process.
Items you may not list
Anything illegal in India, counterfeit or stolen goods, weapons and explosives, narcotics, prescription medicines without a valid licence and process, alcohol, tobacco for sale to minors, hazardous substances, and any item whose sale requires a licence you do not hold.
Content and your shop QR code
You keep ownership of your product photos and descriptions, and you give us a non-exclusive, royalty-free licence to display them on the Platform and to show them when promoting your shop on Synckube. Your shop QR code is for your shop only; do not alter it or use it to send customers elsewhere.
Settlements
Where Synckube collects money on your behalf, the settlement timing, any fees and any deductions will be shown in the app or agreed with you in writing before they apply.
8. Delivery partners
Delivery partners are independent and use the Synckube Delivery app under the Delivery Partner Terms, in addition to these terms.
9. Our responsibilities
We will:
- operate the Platform with reasonable care and skill;
- show each shop's name and address, and the details you need to make an informed purchase;
- not manipulate the price of goods offered by shops, and not discriminate between shops of the same kind;
- run a grievance process and appoint a Grievance Officer (see Contact); and
- act on unlawful listings or content when we become aware of them, as the law requires.
The shop is responsible for the quality, safety, labelling, legality and any warranty of the products it sells. The Platform is provided "as available". We work to keep it running and accurate, but we cannot promise it will always be available or free of errors.
10. Limits on liability
To the extent the law allows:
- we are not liable for indirect or consequential loss, such as loss of profit, business or goodwill, arising from your use of the Platform; and
- our total liability to you for any claim relating to an order is limited to the value of that order.
Nothing in these terms limits liability that cannot be limited by law, including your rights as a consumer under the Consumer Protection Act, 2019.
11. Indemnity
If you breach these terms or the law while using the Platform, you agree to compensate us for the reasonable losses, costs and claims that result, including reasonable legal fees.
12. Suspension and closing accounts
You can stop using Synckube and delete your account at any time.
We may suspend or close an account, or remove a listing, if we reasonably believe it is involved in fraud, breaks these terms or the law, puts anyone's safety at risk, or if the law requires it. Unless there is an urgent safety or legal reason, we will tell you why and give you a chance to respond.
13. Changes to these terms
We may update these terms as the Platform or the law changes. We will change the date at the top of this page and, for significant changes, tell you in the app before they take effect. Continuing to use the Platform after that means you accept the updated terms.
14. Governing law and disputes
These terms are governed by the laws of India.
If you have a complaint, please contact support first, then our Grievance Officer. If a dispute is not resolved, the courts at Bhopal, Madhya Pradesh have exclusive jurisdiction, without affecting your right as a consumer to approach a consumer commission under the Consumer Protection Act, 2019.
